The individual entrepreneur Ilya SUKHOMLIN, registered in accordance with the legislation of Georgia at the address: Apt. 2b, building 91, I.Javakhishvili St., city of Tbilisi, with registration number 302265126, hereinafter referred to as the “Contractor”, hereby posts this Agreement (hereinafter referred to as the “Agreement”), being the public offer agreement (offer) aimed at any person, expressing his/her willingness to take (accept) a public offer (offer) to conclude the Agreement, hereinafter referred to as the “Customer”.
Posting the text of the Agreement on the Contractor’s official web-site at https://contentvision.store/  shall be considered the Contractor’s public offer in accordance with Sub-clause 1 of Clause 329 of the Civil Code of Georgia, and shall be the basis for further conclusion by the Contractor of an Agreement with any Customer willing to conclude it.
The Agreement shall be deemed to have been concluded in a simple written form provided the order of its acceptance is observed.

Terms and Definitions

The terms and definitions used in the Agreement shall be taken to mean as follows:
The term “Contractor” shall refer to the individual entrepreneur Ilya SUKHOMLIN. The term “Customer” shall mean any legal person and (or) any individual entrepreneur as well as any physical person accepting the offer.
The term “Tariff Plan” shall mean any amount of remuneration the Contractor shall be entitled to for any services rendered in accordance with any service package chosen by the Customer, with such service packages intended to be as follows:
- Test package to include posts – 25 pcs.; stories – 25 pcs.; motion videos – 15 pcs.; showtime video – 0 pcs.; showtime music – 0 pcs.; menu design – 0 pcs.; merch – 0 pcs.; bottle service – 1pc.; tracks for DJs – 0 pcs.; real-time editing REELS –  1 pc.; party photo retoucher – 1 set; description of parties – 1 pc.; individual motion – 1 pc.; personal manager with the total cost of the above package being USD 1000 per month;
- Premium package to include posts – 200 + pcs.; stories – 200 + pcs.; motion videos – 150pcs.; showtime videos – 20 + pcs.; showtime music – 5 pcs.; menu design – 10 pcs.; merch – 3 pcs.; tracks for DJs – 100 + pcs.; bottle service – 10 pcs.; Vip Bottle service – 1 pc.; real-time editing REELS – 0 pcs.; party photo retoucher – 20 sets; description of parties – 0 pcs.; individual flyers & motion – 0 pcs.; personal manager, with the total cost of the above package being USD 7000 per year;

- Individual package aimed to provide any tailor-made services to satisfy the Customer’s needs.
Vip bottle service
Any LED box can be purchased for $ 300 (excluding shipping). When buying a Premium package, there is a 15% discount on any interactive. Payment and terms of purchase are discussed separately with the Customer. Payment is made to the bank account.
The term “Offer Acceptance” shall mean full and unconditional acceptance of the offer by way of the Customer’s paying for the services in accordance with any of the above Tariff Plans, subject to the terms and conditions stipulated in the Agreement.
The term “Site” shall mean an information resource owned by the Contractor and posted on the Internet at https://contentvision.store/.

1. General Provisions and Subject Matter of the Agreement

1.1. This Public Offering shall be considered to be an official offer of the Customer to public at large to conclude an Agreement on the terms and conditions posted on the Site and specified by the Agreement.
1.2. The Contractor shall undertake to render any paid services to the Customer both to provide the Customer with access to the list of posters in the number corresponding to the Tariff Plan, chosen by the Customer, for a period of one (1) year, and to place the Customer’s information on the posters on condition the Customer sends an appropriate request through the Customer’s personal account (Customer’s logo, name of the event, event venue and date, phone number and web-site), and also to render any other services in accordance with the Tariff Plan chosen by the Customer (hereinafter referred to as the “Services”).
1.3. The terms and conditions of the Agreement as well as those for rendering any Services shall be established by the Contractor. The Contractor shall be entitled to unilaterally alter the terms and conditions of the Agreement as well as those for rendering the Services. The Customer shall be notified of any alterations introduced by the Contractor by the Contractor’s preliminarily posting any information on such alterations on the Site.
1.4. The Customer shall undertake to read and accept the terms and conditions of the Agreement, the ones for rendering the Services, the Tariff Plans as well as any other information posted on the Site before payment for them.
1.5. The Services are provided upon 100% prepayment by Customer and the Customer’s registration on the Site in accordance with the established procedure.
1.6. Any Services shall be rendered to only one postal (legal) address of the Customer and in respect of only one logo of the Customer at a time. In case of any other postal (legal) address and logo subsequently provided by one and the same Customer, another Service shall be issued in accordance with the Tariff Plan opted for by the Customer.
1.7. The Agreement shall be concluded by way of adding any Customer to the Agreement after his/her acceptance of the Agreement as a whole, without any conditions or exceptions or reservations.
1.8. In order to receive any Service, the Customer shall choose an appropriate Tariff Plan, make payment, get registered on the Site in accordance with the established procedure, and gain access to the Customer’s personal account.
1.9 Any interaction between the Customer and the Contractor related to any Service rendered under the Agreement in accordance with the prepaid Tariff Plan shall be carried out through the Customer’s personal account.
1.10. The Customer’s paying for any ordered Services in accordance with the established procedure and under the terms and conditions specified by the Agreement and the appropriate Tariff Plan shall testify to the Customer’s yielding to (accepting) the terms and conditions of the Agreement.
1.11. The Agreement shall be deemed to have been concluded in a simple written form provided the order of its acceptance is observed.

2. Rights and Obligations of the Parties

2.1. The Customer shall undertake to:
2.1.1 Pay for the cost of any Services in the manner and on the terms and conditions specified by the Agreement and in accordance with the chosen Tariff Plan;
2.1.2. Provide any information and any data necessary for the Contractor to perform its obligations in respect of the Services by virtue of an appropriate request sent through the Customer’s personal account.
      The Contractor shall not bear any responsibility for non-receipt of any related information from the Customer and shall disclaim any responsibility for the quality of any rendered Services should the Customer fail to deliver complete, reliable, accurate, or relevant data.
2.1.3. Withhold for confidentiality purposes any information or any data, forwarded by the Contractor in connection with the performance of the Agreement;
2.1.4. Respect the Contractor’s copyright with regard to any and all materials received from the Contractor in compliance with the Law of Georgia on Copyright and Related Rights and the Rules of International Law; and
2.1.5. Use any Services only within one postal (legal) address.
2.2. The Customer shall have the right to:
2.2.1. Refuse from the Contractor’s Services in the process of their being rendered. If this is the case, the amount of money paid by the Customer for the aforesaid Services shall not be subject to refund.
2.3. The Contractor shall undertake to:
2.3.1. Timely notify the Customer of any alterations made in the process of rendering the Services using any available method of notification;
2.3.2. Withhold for confidentiality purposes any information or any data forwarded by him/her in connection with the performance of the Agreement; and
2.3.3. Render any Services within one hour from the moment of the Customer’s sending his/her request through the Customer’s personal account provided any and all information necessary for rendering the aforesaid Services has been properly delivered to the Contractor.
2.4. The Contractor shall have the right to:
2.4.1. Involve any third party in the provision of any Services;
2.4.2. Define forms and methods of and processes for rendering the aforesaid Services unilaterally and at his/her own discretion;
2.4.3. Postpone the time limits for the fulfillment of his/her obligations under the Agreement subject to prior notification of the Customer;
2.4.4. Request the Customer for any information necessary to fulfill his/her obligations under the Agreement;
2.4.5. Provide a discount of 10% from the cost of any Services included in any of the aforesaid Tariff Plans on condition access is purchased for another postal (legal) address and in respect of another logo of one and the same Customer; and
2.4.6. Refuse to render any Services to the Customer should any of the aforesaid Services or their provision run counter to the legislation of Georgia or the Rules of International Law or the generally accepted norms of morality, or should the Customer fail to properly perform their obligations provided for in the Agreement.

3. Cost of the Services and settlement procedure

3.1. The cost of any Service shall be based on the Tariff Plan chosen by the Customer, with any information on the aforesaid Tariff Plan to be found on the Site.
3.2. The cost of the Services and the procedure for determining such cost shall be established (altered) by the Contractor unilaterally. Any information on any alteration shall be posted by the Contractor on the Site.
3.3. The Contractor shall have the right to apply discounts and bonuses as well as to carry out promotional activities while calculating the cost of the Services.
3.4. The Contractor shall be entitled to apply any discounts or bonuses on a case-by-case basis.
3.5. Any and all information regarding the aforesaid discounts and bonuses as well as the aforesaid promotional activities shall be posted on the Contractor’s Site.
3.6. The Contractor shall undertake to give a 10% discount for any Tariff Plan opted for as well as five (5) bonus animated posters when a Service is ordered for each subsequent postal (legal) address and logo of one and the same Customer as is stipulated by Sub-clause 1.6. of the Agreement.
3.7. The Contractor shall be entitled to unilaterally alter (cancel) any current discounts or bonuses, including the ones specified by the Agreement, with such discounts or bonuses subject to alteration (cancellation) without notice of obligation, by way of posting any related information on the Contractor’s Site at a reasonable time.
3.8. Payment shall be made in on condition that a total of 100% of the required sum is prepaid either by a bank payment card or by a bank transfer to the Contractor’s settlement account.
    Any information related to the terms and the order of payment for the Services shall be posted on the Contractor’s Site.
3.9. Any and all expenses connected with transfer of money for any Services rendered shall be borne by the Customer.
3.10. While paying for the Services the Customer shall confirm that the terms and conditions of payment for the Services posted on the Site and indicated in the Agreement are known to and accepted by them.

4. Liability of the Parties

4.1. Either Party shall be held liable for nonperformance or improper performance of the terms and conditions of the Agreement in compliance with the legislation of Georgia.

5. Dispute Resolution Procedures

5.1. Any and all disputes arising out of or in connection with the Agreement shall be settled by the Parties through negotiation.
5.2. Should the Parties fail to reach agreement while holding negotiations the issues under dispute shall be subject to judicial settlement, in which case a relevant claim shall be referred to court.
5.3. In case of the Parties’ failing to reach agreement, any and all disputes arising out of or in connection with the Agreement, shall be settled in judicial bodies at the Contractor’s location, with the order of judicial settlement to be held according to the procedure, provided for by the applicable legislation of Georgia.

6. Miscellaneous

6.1. The Agreement shall come into effect from the moment of the Customer’s accepting this Public Offer and shall be valid within the negotiated time intended for the Parties to fulfill their obligations under the Agreement.
6.2. Any and all documents connected with the fulfillment of the Agreement shall be possible to sign using an electronic signature. The Parties have agreed to mutually recognise any scanned document related to the conclusion, performance, alteration, and termination of the Agreement sent by e-mail as well as any correspondence held by e-mail and related to the conclusion, performance, alteration, and termination of the Agreement, including e-mails that do not contain an electronic signature, to be legally enforceable. The above-stated provision shall refer to any correspondence and documental exchange, sent from / to any e-mail addresses to be indicated when the Customer undergoes the process of registering and /or are to be specified by the Customer in their request.
